Studeez GmbH, Papierfabrik 9, 57072 Siegen, Germany (hereinafter referred to as Studeez) operates the Studeez learning platform. Users can upload their knowledge from lectures in the form of flashcards, videos, quiz questions and other documents and view them from other users.
These terms and conditions form the basis for using the Studeez platform, which can be accessed via apps from the Google Play Store and Apple App Store.
These terms and conditions govern the contractual relationship between Studeez and the user/you. These apply to the registration-required platform (“Studeez”) including all sub-pages of Studeez GmbH. By registering on the Studeez platform and using it, you are obliged to accept the terms of use.
Through your registration on the platform, a user account is opened for you. All data entered must be truthful and complete. You undertake to keep this data current. However, you are permitted to use a pseudonym. During registration, you will be asked to protect your member account with a password or register with your Google or Apple account. You are responsible for keeping your access data secret and not allowing any third party access to your account. You are obliged to immediately contact Studeez via the support function in the app if there is suspicion that a third party is using your account. You are solely responsible for all activities that occur on your account. During registration, you confirm the accuracy of your information, accept our Terms and Conditions and complete the registration. After you have accepted the terms and conditions and the registration is completed, a binding usage contract comes into effect between Studeez and you on the basis of these terms and conditions of use. If Studeez blocks your account, you are not permitted to create a new account. We reserve the right to block any account without giving reasons and without warning. Studeez reserves the right to remove any username without giving reasons and without warning if this protects the rights of third parties. Studeez can reject registration requests. If this is the case, you can inquire about the reason by sending an email to info@studeez.de. There is no obligation to provide information on the part of Studeez.
Studeez assumes no liability for content uploaded by users. The materials provided by Studeez are exclusively for private study and learning purposes. Distribution and sale to third parties is not permitted. It is not permitted to circumvent the technical security measures for recording the in-app content and will result in legal consequences. The use of the platform is free of charge, provided you do not use any additional functions marked as chargeable. All prices shown in the app are gross prices including the legally required VAT. The right to download does not transfer or grant copyright. By uploading content, you confirm that you have the right to use the content and that no copyright infringement is committed. Studeez assumes no responsibility for the legality of uploaded content.
Studeez integrates services and technologies from third-party providers, including the OpenAI interface, to support the creation of content such as flashcards and videos and to provide students with an improved learning experience. The use of such services is subject to the respective terms and conditions and privacy policies of the third-party providers. By using the Studeez app, you acknowledge that you have read and agree to the terms and conditions and privacy policies of the third-party providers. Studeez assumes no responsibility or liability for the accuracy, completeness or timeliness of content generated by third-party services. You are responsible for checking the quality of the content provided and ensuring that it meets your needs. Studeez is not liable for damages resulting from the use of or reliance on information and services provided by third-party services. You are responsible for being aware of the functionality, risks and possible consequences of using such services. You agree that you are solely responsible for any damage or loss resulting from your use of third-party services and that you will indemnify Studeez and the third-party providers from any claims, demands, damages, losses, liabilities, costs and expenses (including reasonable attorney fees) arising from or in connection with your use of third-party services.
The subscription continues to run - even after the expiry of an agreed minimum term - if it is not terminated in good time. Expressly limited subscriptions end with the agreed contract end, unless something else is agreed upon conclusion of the contract. Subscription fees for the billing period must always be paid in advance. The length of your billing period depends on which subscription type you choose when registering for the service. When purchasing paid content on Studeez, payment is made when the order is completed. You can cancel your Studeez subscription at any time and will continue to have the option to use the Studeez subscription until the end of your billing period. If you used a third-party provider as a payment method when concluding your Studeez subscription and want to cancel your Studeez subscription, you may have to do so through the respective third-party provider. To do this, you may need to access your account with the relevant third-party provider and turn off automatic renewals there or unsubscribe from your Studeez subscription through this third-party provider. You may also be able to view billing information related to your Studeez subscription through your account with the respective third-party provider. A payment on the Studeez platform results in a contract for a service, namely a subscription for paid content and/or paid functions. When you order this service, you will be granted full access (i.e. all functions offered by Studeez for learning content) on the platform within the purchased period. Payment processes are handled exclusively via Studeez or third-party providers with whom Studeez cooperates to handle payment transactions (e.g. Google & Apple). Studeez is free to charge usage fees for additional functions in the future or to make free services chargeable at any time. These changes do not require advance notice and can be made without justification. The price list shown for the respective subscription at the time of contract conclusion applies. The price list can be viewed in the app at any time before payment. Subscription prices each include the applicable statutory VAT. Any connection costs to the respective internet or mobile phone provider of the subscriber are not included. Prices for a Studeez subscription may change. However, any changes to prices and our subscription offer will only come into effect for the next billing period after notification of the change(s) to you. Individual notifications do not have to be made. In case of payment default, Studeez is entitled to terminate the delivery contract without notice after reminder and setting a deadline. The delay damage including the reminder costs are borne by the subscriber. If the subscription you have concluded is no longer offered for you, we reserve the right to convert your subscription into one that is still offered. In this case, you will be notified and can still cancel at the end of the billing period. This cannot result in additional costs for you for the current billing period.
Your Studeez subscription may begin with a free trial period, the duration of which is specified during registration. This free trial period is intended to allow new and certain former members to try paid Studeez features and view premium content. Studeez will evaluate your eligibility for a free trial period at its discretion and may restrict the availability or duration of the free trial period to prevent abuse. If we determine that you are not eligible for the free trial period, we reserve the right to revoke it and deactivate your account. Members from households with an existing or recently ended Studeez subscription are not eligible to participate. To check your eligibility status, Studeez is authorized to access information such as device ID, payment method or email address that have already been used for an existing or recently existing Studeez subscription. Restrictions may apply when combined with other offers. Unless you cancel your paid subscription before the end of the free trial period, we will charge your payment method at the end of the free trial period with the subscription fees for the next billing period.
You are solely responsible for keeping your access data (username, password) secret and thus not granting any third party access to your member account. In particular, it is prohibited to grant a third party access to your account in order to avoid fees. You are obliged to immediately send an email to info@studeez.de if there are indications that a third party has gained access to your account or there are indications of misuse of your account. Studeez reserves the right to remove your account in case of suspicious activities. While using content provided by Studeez, you are obliged at all times to comply with applicable laws and regulations. Therefore, no content, materials or information may be published and made accessible via the Studeez platform that violate laws or these terms and conditions of use. Any reproduction, publication or distribution of the content, regardless of form, is also prohibited. No copyrights are transferred to you in any form. The content and services of Studeez may not be misused. Misuse occurs when: Content has been reproduced, published and distributed for which a transfer of copyright would have been required. racist, pornographic, sexist, insulting, violence-inciting, minority-oppressing, seditious content or other material is uploaded or distributed. Advertising in any form is distributed and this is not contractually regulated with Studeez. Access to member accounts of third parties is obtained. unlawful or malicious acts are performed. Viruses or other forms of code are uploaded that impair the appearance. Content with misleading or untruthful content is distributed.
When you upload lecture materials and all other documents on the platform, you retain any rights to them as far as possible. Studeez is granted a free right of use and exploitation, insofar as this is necessary for the provision and publication on the platform, in particular for storing the content on the provider’s server and making it publicly accessible (by displaying the content on the platform). You may only upload content to Studeez that you have created yourself or for which you have been expressly authorized to upload. Studeez is entitled to edit, store, provide with advertising from third parties, provide with its own advertising and logos, convert into other formats and publish uploaded content in the form of advertising on various channels. Studeez may remove all user content that is on the platform without giving reasons. If you violate the intellectual property of a third party, Studeez reserves the right to permanently delete those contents. You warrant that all documents and content comply with the legal requirements of the law, in particular the Criminal Code, data protection and other protective and personal rights. Insofar as you remove the content you have posted from Studeez again, the right of use and exploitation granted to Studeez above expires. However, Studeez remains entitled to keep copies made for security and/or verification purposes.
Studeez deeply appreciates the contributions that our tutors make to enriching our platform. In recognition of this, a remuneration-related allocation of fifteen percent (15%) of the revenue generated is arranged to all content creators. The individual percentage allocated to a tutor depends on quantitative and qualitative factors, including, but not limited to, the frequency of user interactions with the content they provide. Furthermore, negative aspects, such as verified reports of erroneous or offensive content, are included in the calculation of profit distribution. Bonus programs and mediating initiatives can also modulate the distribution of profits. As a consequence, this means that tutors who show an active presence and whose contributions show high user interaction have an increased probability of obtaining a larger share of the profits. This remuneration model serves to maintain and promote the high standard of our platform, as well as the quality of contributions. We consider this to be an essential component of our commitment to promoting learning and ensuring a fair and balanced learning environment for all users. Furthermore, tutors receive the opportunity to participate in specific, explicitly advertised tasks for which a flat-rate remuneration is offered. In the event of acceptance of this flat-rate remuneration instead of profit sharing, all rights regarding the content generated within the framework of the task are transferred to Studeez. This implies that the tutor has no authorization after the transfer to delete, edit or otherwise modify the relevant content. Studeez reserves the right to use and publish this content for marketing purposes on third-party platforms. By using the Studeez platform, tutors agree to book their performance in the form of a billing credit note, which is created by the service recipient, Studeez GmbH. This simplifies the accounting for the tutor and transactions can be processed faster. The tutor can view the billing credit notes at any time in the app menu under the “Invoices” tab. In case of errors, the tutor is obliged to report this immediately.
Studeez is subject to the law of the Federal Republic of Germany. The terms and conditions govern the contractual relationship between Studeez and the user.
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of the conclusion of the contract. To exercise your right of withdrawal, you must inform Studeez GmbH, Edith-Feder-Str. 22, 33611 Bielefeld, Germany, info@studeez.de by means of a clear statement (e.g. a letter sent by post, fax or email) of your decision to withdraw from this contract. You may use the attached model withdrawal form for this purpose, but it is not mandatory. To meet the withdrawal deadline, it is sufficient that you send the communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
If you withdraw from this contract, Studeez shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by Studeez), without undue delay and in any event not later than 14 days from the day on which Studeez is informed about your withdrawal from this contract. For this repayment, Studeez will use the same means of payment that you used for the original transaction, unless you have expressly agreed otherwise; in no event will you be charged fees for this repayment. If you requested to begin the performance of services during the withdrawal period, then you shall pay Studeez an amount which is in proportion to what has been performed until the time you communicate to Studeez your withdrawal from this contract, in comparison with the full coverage of the services provided for in the contract.
The right of withdrawal expires according to § 356 para. 4 BGB in the case of a contract for the provision of services also when the entrepreneur has completely provided the service and only began the execution of the service after the consumer gave his express consent and confirmed his knowledge that he loses his right of withdrawal upon complete contract fulfillment by the entrepreneur. The right of withdrawal expires according to § 356 para. 5 BGB in the case of a contract concerning the supply of digital content which is not supplied on a physical data carrier also when Studeez has begun the execution of the contract after the consumer has expressly agreed that the entrepreneur begins the execution of the contract before the expiry of the withdrawal period, and has confirmed his knowledge that he loses his right of withdrawal by his consent with the beginning of the execution of the contract.

Studeez is only liable for damages where intent or grossly negligent breach of duty by Studeez or one of its legal representatives or a vicarious agent was the cause of the damage. The same applies to culpably caused damages from the injury to life, body or health, to damages caused by the lack of a guaranteed quality, as well as in case of malice. In case of slightly negligent injury (property or financial damage), Studeez only becomes liable if essential contractual obligations were violated (i.e. an obligation whose fulfillment makes the proper execution of a contract possible in the first place and on whose compliance the parties may regularly rely); however, this liability is limited to the foreseeable and contract-typical damage. Liability for slightly negligent violation of an obligation other than the aforementioned does not exist. Studeez is not responsible for your learning success and assumes no responsibility for learning success. Liability under the Product Liability Act remains unaffected.
The contractual relationship cannot be terminated early, but ends as described in the respective subscription. You are entitled to have your member account deleted by Studeez at any time without giving a reason. To do this, you only need to contact Studeez via the support chat in the app. After receipt, Studeez will make every effort to carry out the deletion as quickly as possible for Studeez. However, this deletion does not exempt you from possible, existing contractual payment obligations.
The basis of the usage contract is always the terms and conditions of business and use that apply at the time of registration. However, Studeez reserves the right to adapt these. If an adaptation of the conditions is to be made by law. If a change is to be made due to new services, this only offers advantages for you or if this change is technically necessary. Studeez also reserves the right to change the terms and conditions at any time without giving reasons and announcement. Existing users are notified of changes by email or via the support chat function in the app. If users do not object in writing to info@studeez.de within 14 days, this is considered consent to the new terms and conditions.
